By accessing or using the Limen Markets Private platform ("Platform"), you agree to these Terms of Service. If you do not agree, do not use the Platform.

Eligibility

The Platform is restricted to verified accredited investors as defined in Rule 501 of Regulation D. By using the Platform you represent that you meet that standard. Misrepresentation may result in termination of access and reversal of any transactions.

What we are not

Limen Markets is not a broker-dealer, investment adviser, or financial professional. Nothing on the Platform constitutes a recommendation to buy or sell any security. See our Disclosures for the full statement.

Indications and offerings

Submitting an indication of interest is not a binding offer to purchase. All transactions are subject to documentation, accreditation re-verification, issuer transfer policies (including right of first refusal), and final manager review. Settlement timelines are estimates and not guarantees.

Fees

Fees applicable to a specific offering are disclosed in the offering documents for that offering before subscription. Listing for sellers is free; transaction fees on the buyer side are disclosed in advance.

Acceptable use

  • Do not access the Platform if you are not eligible.
  • Do not attempt to scrape, reverse-engineer, or interfere with the Platform.
  • Do not impersonate another person or use the Platform for unlawful purposes.

Intellectual property

The Platform and its content are owned by Limen Markets and protected by intellectual-property laws. You receive a limited license to access the Platform for personal, non-commercial use.

Limitation of liability

To the fullest extent permitted by law, Limen Markets is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform or any transaction you enter through it. Your sole remedy for dissatisfaction is to discontinue use of the Platform.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes will be resolved by binding arbitration in Delaware.

Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated "last updated" date. Continued use after changes are posted constitutes acceptance.
